UAE Economic Substance Regulations (ESR) 2026: Filing Guide
A clear UAE ESR filing guide covering the 9 Relevant Activities, substance tests, notification and report deadlines, and how to avoid the AED 50,000 to AED 400,000 penalties.
The UAE's Economic Substance Regulations (ESR) came into force in 2019 under Cabinet Resolution No. 31 of 2019 and remain the main substance-based compliance regime in parallel with Corporate Tax. The regime targets entities that earn income from Relevant Activities and requires them to demonstrate real economic activity in the UAE. Here is the 2026 playbook.
The 9 Relevant Activities
- Banking Business
- Insurance Business
- Investment Fund Management Business
- Lease-Finance Business
- Headquarters Business
- Shipping Business
- Holding Company Business
- Intellectual Property Business (highest-risk category)
- Distribution and Service Centre Business
If a UAE entity earns income from any of these during a financial year, ESR obligations apply.
The two filings
- Notification: every entity that could potentially earn income from a Relevant Activity must notify within 6 months of financial year end. Even if no income was earned, the notification confirms this.
- Report (ESR Report): only if income was actually earned from a Relevant Activity. Due within 12 months of financial year end.
The substance test
To pass the substance test, the entity must:
- Conduct its Core Income-Generating Activity (CIGA) in the UAE.
- Be directed and managed in the UAE (board meetings in UAE, UAE-resident directors with relevant expertise).
- Have adequate UAE-based full-time employees relative to the activity level.
- Have adequate operating expenditure incurred in the UAE.
- Have adequate physical assets (office space, equipment) in the UAE.
Core Income-Generating Activities are defined per Relevant Activity. For a Holding Company, CIGA is simply holding equity and receiving dividends. For an IP Business, CIGA includes R&D, enhancement, maintenance and strategic decisions about the IP.
Lighter substance for pure holding companies
Pure Holding Companies (holding only equity interests and earning only dividends and capital gains) face a lighter test: adequate employees and premises in the UAE, and compliance with company law filing requirements. No full operational substance required.
Strictest substance for IP Holders
High-Risk IP Businesses (where IP is acquired from a related party abroad and licensed to related parties abroad) face the strictest substance test. Must demonstrate: UAE-based R&D or significant decisions, UAE-based employees with relevant expertise, and detailed business plans showing active IP management. Failing this test triggers presumption of non-compliance.
Filing portal
Both Notification and Report are filed through the UAE Ministry of Finance ESR Portal. Each regulatory authority (DMCC, DIFC, ADGM, Dubai DET, free zones) has oversight for its licensed entities.
Penalties
- Failure to file Notification: AED 20,000 (first offence), AED 50,000 (repeat).
- Failure to file Report: AED 50,000 (first), AED 400,000 (repeat).
- Failure to meet the substance test: AED 50,000 (first offence) plus exchange of information with the foreign tax authority of the ultimate parent. AED 400,000 (second offence) plus trade licence suspension.
- Providing inaccurate information: AED 50,000.
How ESR interacts with Corporate Tax
- Qualifying Free Zone Person (QFZP) status for 0 percent corporate tax has its own substance test, which overlaps significantly with ESR requirements.
- Economic substance under ESR is a prerequisite for most tax treaty benefits.
- UAE Federal Tax Authority can cross-check ESR filings against corporate tax returns.
- Companies that pass ESR and are UAE tax resident can claim UAE Tax Residency Certificate for DTAA benefits.
Rule of thumb: file Notification every year even if no Relevant Activity income earned. Build substance proportionally to income early (lease a real office, hire at least one UAE-resident employee for substantive activities, hold documented board meetings in the UAE). Retrospectively defending substance after a failed audit is expensive.
Breeo files ESR Notifications and Reports for mainland and free zone clients and advises on substance structuring. See our compliance services or UAE Corporate Tax guide for the full tax picture.
